Terms of Service

The agreement between you and Restocker covering what the service does, what it costs, and what each of us is responsible for.

1. Agreement to these terms

These terms govern your use of Restocker, an inventory and demand-forecasting application for Shopify and Squarespace merchants. Restocker is operated by FRI Solutions LLC, a limited liability company incorporated in Pennsylvania, United States ("we", "us"). By creating an account, connecting a store, or using the service, you agree to them.

If you are agreeing on behalf of a company, you confirm you have the authority to bind that company, and "you" means that company.

2. What Restocker does

Restocker connects to your store, imports your product catalogue, inventory levels and sales history, and uses them to calculate per-SKU demand rates, reorder points, forecasts and low-stock alerts.

Forecasts are estimates, not guarantees, and they are not business, financial or professional advice. They are calculated from your historical sales, which cannot account for everything that will actually happen — a supplier failure, a viral product, a change in the market. Purchasing decisions remain yours. You should not rely on Restocker as the sole basis for committing money to stock.

3. Your account

  • You must provide accurate registration information and keep it current.
  • You are responsible for keeping your credentials secure and for everything that happens under your account. Tell us promptly if you suspect unauthorised access.
  • You must be at least 16 years old and able to form a binding contract.
  • If you invite team members, you are responsible for their use of the service and for making sure they are entitled to see the data in your workspace.
  • Some actions belong to the workspace owner alone — closing the account is one of them — and we check that against your membership record on every request.

4. Connecting your store

To use Restocker you grant it permission to read data from your Shopify or Squarespace store. You confirm that you are entitled to grant that access and that doing so does not breach your agreement with the platform or with anyone else.

From Shopify we request five permissions: to read products, inventory, locations and orders, and to write inventory. The write permission is what lets stock adjustments you make in Restocker be pushed back to your store; we use it for nothing else. We do not request permission to read your customers, and we do not hold Shopify protected customer data access. From Squarespace we request access to inventory, products and orders.

Your use of Shopify and Squarespace remains governed by your agreements with them. Their availability, rate limits and API changes are outside our control, and can affect what Restocker is able to do — including how far back your order history reaches.

5. Plans, trials and billing

  • Trial: paid plans start with a 30-day free trial. We do not charge you during the trial. If you do not cancel before it ends, your subscription begins and your payment method is charged.
  • Subscriptions: paid plans renew automatically for the same period until cancelled. Current plans and prices are shown in the app.
  • Payment: billing is handled by Stripe. Your card details go to Stripe directly and are never stored on our systems. You authorise us to charge your payment method for all fees when due.
  • Failed payments: if a payment fails we may suspend or downgrade your access until it is resolved.
  • Price changes: we will give you at least 30 days' notice before a price change takes effect.
  • Taxes: fees are exclusive of taxes, which we add where required.

Cancelling: three routes, and they are not the same

It matters which one you use, because two of them end your subscription at different moments.

  • You cancel the subscription. Manage or cancel it yourself through the Stripe customer portal, reachable from billing settings in the app. Cancellation takes effect at the end of the period you have already paid for; you keep access until then, and no further charge is raised.
  • You uninstall the Shopify app. If that leaves you with no store connected, we schedule your subscription to end at the close of the period you have already paid for, so uninstalling never leaves a charge running behind you and never confiscates a period you have bought. Because it is a scheduled end rather than an immediate one, reinstalling before the period closes resumes the same subscription instead of forcing you through a new checkout. If your payments were already behind at that point, there is no paid period left to protect and the subscription ends immediately instead. If you still have another store connected, or your workspace did not sign up through Shopify, uninstalling one storefront does not touch your subscription at all.
  • You close your account. This cancels your subscription immediately — not at the end of the billing period. You asked to leave, and a cancellation that keeps running for another three weeks is not a cancellation. See section 9.

Refunds

We do not issue refunds for a period that has already been paid for. Where cancellation takes effect at the end of that period you keep full access until it closes; where you close the account and the subscription ends immediately, the remainder of the period is not refunded. No further charge is raised in either case.

6. Acceptable use

You agree not to:

  • Use the service unlawfully, or to infringe anyone else's rights
  • Attempt to gain unauthorised access to the service, other customers' data, or any system we operate
  • Probe, scan, overload or interfere with the service, or circumvent its rate limits and usage quotas
  • Reverse engineer the service, or copy it to build a competing product
  • Resell or sublicense access to the service without our written permission
  • Connect a store you are not authorised to connect, or upload data you have no right to share with us

7. Your data

Your store's data remains yours. You grant us the licence needed to host, process and display it in order to provide the service — for example to import it, run forecasts over it, and show you the results.

How we handle personal data is set out in our Privacy Policy, which forms part of these terms. In particular, Restocker stores no personal data about the people who buy from your store.

We may use aggregated, de-identified statistics that cannot be traced back to you or your store to operate and improve the service. We do not sell your data, and we do not share your store's data with your competitors.

8. Availability and support

We work to keep Restocker available and accurate, but we do not promise it will be uninterrupted or error-free. We may need to suspend it for maintenance, and we may change, add or remove features over time. Where a change materially reduces core functionality on a paid plan, we will give you reasonable notice.

There is no service level agreement and no uptime commitment. We do not offer one, and nothing on this page or elsewhere in the product should be read as implying one.

Support runs by email at support@restocker.co. We aim to respond to support requests within two business days. That is an expectation we hold ourselves to, not a contractual guarantee.

9. Closing your account, suspension and termination

You can close your workspace at any time from Settings → Profile. Only the workspace owner can do it, and you confirm by typing the workspace name.

Closing takes effect immediately and does three things:

  • Cancels your subscription straight away. If we cannot reach Stripe to cancel it, the account is not closed at all, because closing a workspace while its billing continued would keep charging you for something you can no longer use.
  • Erases your Shopify access token, disconnecting Restocker from your store.
  • Deactivates every store connection on the workspace.

Closing is reversible for 30 days and deletes nothing until then. Reopening within that window restores your data in full. It does not restore your store connection or your subscription: the access token was erased and cannot be recovered, so you will need to reconnect your store, and you will need to subscribe again. After 30 days the data is permanently deleted and the closure can no longer be reversed. The retention section of our Privacy Policy sets out exactly what is deleted and when.

We may suspend or terminate your access if you materially breach these terms, if your payment fails and is not resolved, or if we are required to by law. On termination your right to use the service ends.

10. Intellectual property

Restocker, including its software, forecasting models, interface and branding, remains our property. These terms grant you a limited, non-exclusive, non-transferable right to use the service while your account is in good standing, and nothing more.

If you send us feedback or suggestions, we may use them to improve the service without obligation to you. Feedback submitted through the in-app form is copied into a tracking issue on GitHub — see the Privacy Policy for exactly what that includes.

11. Disclaimers

The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that forecasts, reorder points or alerts will be accurate, or that acting on them will produce any particular commercial result.

12. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, lost revenue, lost data or lost business opportunity, arising out of these terms.

Our total liability arising out of or relating to the service is limited to the amount you paid us in the twelve months before the event giving rise to the claim.

Nothing in these terms excludes liability that cannot lawfully be excluded, such as liability for fraud or for death or personal injury caused by negligence.

13. Indemnity

You agree to indemnify us against claims arising from your use of the service in breach of these terms, from data you provide to us that you had no right to provide, or from your violation of anyone else's rights.

14. Changes to these terms

We may update these terms. When we do, we update the date at the top of the page, and for material changes we will notify you by email or in the app before they take effect. Continuing to use Restocker after a change takes effect means you accept the revised terms.

15. Governing law

These terms, and any dispute arising out of or relating to them or to the service, are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules.

We have not specified a venue for disputes, and these terms contain no arbitration clause. Those questions are separate from which law applies, and where they are not stated the ordinary rules decide them.

16. General

  • These terms, together with the Privacy Policy, are the entire agreement between us about the service.
  • If any provision is held unenforceable, the rest remains in force.
  • Our not enforcing a provision is not a waiver of it.
  • You may not assign these terms without our consent. We may assign them as part of a merger, acquisition or sale of assets.
